The terms of this User Agreement (these "Terms") are provided by REPOVIC.DEV LLC d/b/a Softalon ("Company," "we," "us," or "our"). These Terms apply to your access and use of our websites (including softalon.com and related pages), mobile applications, and all related online services (collectively, the "Services"). These Terms apply whether or not you create an account with us.

If you do not agree to these Terms, you may not use or access the Services.

1. Eligibility and Accounts

1.1 Age Requirement

You must be at least 18 years of age to use the Services. By accessing or using the Services, you represent and warrant that you are at least 18 years old.

1.2 Account Creation

You may create an account to access certain features of the Services. You agree to:

Provide accurate, truthful, and current information when creating an account
Maintain the confidentiality of your account credentials and password
Promptly notify us at [email protected] if you discover or suspect unauthorized access to your account
Use a strong, unique password not used on other services

You are responsible for all activity that occurs under your account, whether or not authorized by you. We reserve the right to suspend or terminate your account if you violate these Terms or engage in prohibited conduct.

1.3 Account Termination Rights

We reserve the right to close, suspend, or terminate your account at any time, for any reason, with or without notice. This includes (but is not limited to) violations of these Terms, prohibited conduct, breach of our policies, payment disputes, or chargebacks. Upon termination, your right to use the Services immediately ceases.

2. Services Description and Use

2.1 Service Overview

Softalon provides a SaaS platform for salon booking, scheduling, and client management. The Services allow you to create accounts, manage schedules, book appointments, manage client information, and use related features as made available from time to time. The Services may include AI-powered features such as automated message responses and scheduling suggestions.

2.2 AI-Powered Features

The Services may include AI-powered features that generate responses, suggestions, or other content ("AI-Generated Content"). You acknowledge that:

AI-Generated Content is probabilistic and may contain errors, inaccuracies, or inappropriate outputs
AI-Generated Content is not guaranteed to be free of errors, bias, or inappropriate material
You are responsible for reviewing all AI-Generated Content before sending it to clients or other users
You should not rely solely on AI-Generated Content without human review
You agree that Softalon is not liable for any issues, errors, or consequences resulting from AI-Generated Content that you send or use

2.3 Permitted Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You specifically agree not to use the Services to:

Violate any applicable law, regulation, or third-party right
Impersonate any person or entity or misrepresent your affiliation
Upload, transmit, or share malware, viruses, or other harmful code
Engage in harassment, threats, stalking, or abusive conduct
Spam, flood, or disrupt the Services
Abuse our notification or communication systems
Send unsolicited or spam notifications or reminders to clients or users
Reverse engineer, decompile, or attempt to discover source code
Scrape or extract data without authorization
Use the Services to resell, distribute, or commercially exploit without authorization
Access or use the Services in any manner that could damage, disable, overburden, or impair the Services
Attempt to discover, exploit, or abuse vulnerabilities in the Services
Share information about discovered vulnerabilities without reporting them to us
Spam or abuse our APIs
Engage in any illegal activity or violate any applicable law

2.4 Notification and Communication Responsibilities

If your use of Softalon includes sending notifications, reminders, or marketing communications to your clients or customers, you agree that:

You will only send transactional notifications (booking confirmations, appointment reminders, service updates) through Softalon's notification system
You will not abuse the notification system to spam users or send unsolicited messages
You will comply with all applicable communications laws and regulations (including TCPA, CASL, CAN-SPAM, and GDPR)
You will use Softalon's integrated marketing tools (email integrations, SMS, etc.) for marketing purposes, not the notification system
You are solely responsible for obtaining necessary consents from your clients before sending communications
You will not use our Services to send abusive, threatening, harassing, or illegal content
Violation of these obligations may result in limitation of communication capabilities, suspension, or termination of your account

2.5 User Content

The Services may allow you to upload, create, post, and share content, including photos, videos, text, notes, and other materials ("User Content"). You retain all rights to your User Content. However, you grant Softalon and our users a perpetual, irrevocable, nonexclusive, royalty-free license to use, reproduce, modify, display, and distribute your User Content in connection with the Services.

You represent and warrant that you own or have all necessary rights to the User Content you provide, and that your User Content does not violate any rights of any third party or applicable law.

2.6 Prohibited User Content

You may not create or share User Content that is:

Unlawful, defamatory, obscene, or harmful
Infringing of any intellectual property or privacy rights
Fraudulent or misleading
Harassing, threatening, or abusive
Containing private information of third parties without consent
Sexually explicit, pornographic, or adult in nature
Depicting, promoting, or constituting child sexual abuse material (CSAM) — any such content will be reported to the National Center for Missing & Exploited Children (NCMEC) and relevant law enforcement
Otherwise objectionable or violating these Terms

We reserve the right to remove or block User Content that violates these Terms without notice.

3. Pricing, Payments, and Refunds

3.1 Pricing

Current pricing for Softalon is available at softalon.com/pricing. We reserve the right to change pricing at any time. If we make material price changes, we will notify you at least 30 days in advance. You may cancel your subscription before the price change takes effect if you do not agree to the new pricing.

3.2 Free Trials

Softalon may offer free trial periods for certain Services. If you sign up for a free trial, you agree that:

A valid payment method (credit card or debit card) is required to initiate a free trial
You will not be charged during the trial period unless you authorize additional purchases
Upon expiration of the free trial period, your subscription will automatically convert to a paid subscription at the then-current rate
Your payment method will be charged on the conversion date and on each subsequent renewal date
You may cancel your subscription before the trial ends to avoid being charged
To cancel, please log into your account or contact [email protected]

3.3 Subscription Plans

When you purchase a subscription plan, you agree to:

Pay the subscription fee in the frequency you select (e.g., monthly, annually)
Provide accurate billing information
Allow us to charge your payment method automatically on the renewal date

You may upgrade or downgrade your subscription at any time. Changes will be prorated and take effect on your next billing date. We will show you the new cost and any credits or charges before you confirm the change.

3.4 Payment Retry and Failed Charges

If your payment method fails at renewal, we may attempt to charge your account again. We will continue to provide Services during this period. If repeated charges fail, we may suspend your account and access to the Services until payment is received or your account is terminated. We encourage you to update your payment method to avoid service interruption.

3.5 Chargebacks and Payment Disputes

If you initiate a chargeback, dispute, or reversal of a payment through your bank or payment provider without first contacting Softalon directly, your account will be immediately closed and terminated. Before initiating a dispute with your bank, please contact us first at [email protected] or through live chat at softalon.com/contact so we can resolve the issue directly. This approach is faster and more effective than involving your bank.

3.6 Payment Method Verification

To verify the validity of your payment method, we may place a temporary authorization hold or attempt a small charge (typically less than $1) to your payment method. This charge will be immediately voided and will not appear as a transaction on your statement. By providing your payment method, you authorize us to verify it in this manner.

3.7 Credits

Softalon offers credits that can be used to purchase additional services or features. Credits are digital goods and are non-refundable. Once you receive credits to your account, they are considered delivered. Credits:

Cannot be refunded or withdrawn for cash
Are non-transferable
Have no expiration date unless otherwise specified in writing
Are your sole remedy for any service issues related to credits

3.8 Refunds

All purchases are non-refundable. This includes subscriptions, renewals, plan changes, and credits, and we do not provide refunds or credits for partially used billing periods. Charges made in error are refunded as described in our Refund Policy. The only other exception is if a refund is required by applicable law.

3.9 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support at [email protected]. Upon cancellation:

Your subscription will remain active until the end of your current billing period
You will not be charged for the next billing period
Any unused credits will be forfeited

If you downgrade your subscription, any unused balance will be credited toward future subscription invoices (not product purchases like credits). This credit amount cannot be refunded or withdrawn.

3.10 Coupons and Promotions

If you have a coupon or promotional code, each code has its own terms and conditions. We reserve the right to modify, suspend, or cancel any promotion at any time. Coupons are non-transferable and have no cash value.

3.11 Payment Method

Payment is processed by our third-party payment processor, Stripe. You acknowledge that you have reviewed and agree to Stripe's Privacy Policy and Stripe's Terms of Service.

4. Intellectual Property

4.1 Company Ownership

The Services, including all text, graphics, logos, images, software, and other content, are owned by Softalon or our licensors and are protected by copyright and other intellectual property laws. You are not granted any ownership rights to the Services.

4.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, nonexclusive, nontransferable, revocable license to access and use the Services for your personal or business use. Any other use is strictly prohibited.

4.3 Restrictions

You may not:

Copy, reproduce, modify, or create derivative works of the Services
Remove, alter, or obscure any copyright, trademark, or proprietary notices
Reverse engineer or attempt to discover source code
Use the Services to develop competing products or services

5. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING:

Warranties of merchantability, fitness for a particular purpose, title, and non-infringement
Warranties that the Services are accurate, complete, reliable, current, or error-free
Warranties that the Services will be uninterrupted or secure

You assume all risk as to the quality and performance of the Services. We are not liable for any errors, delays, interruptions, or failures in the Services.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW:

We will not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, data loss, or business interruption
Our total liability for any claim arising from these Terms or the Services is limited to the greater of $100 or the amount you paid to us in the 12 months preceding the claim
Some jurisdictions do not allow limitations on liability, so these limitations may not apply to you

7. Indemnification

You agree to indemnify, defend, and hold harmless Softalon, and our officers, directors, employees, and agents from any claims, losses, damages, costs, or expenses (including attorneys' fees) arising from:

Your use of the Services
Your User Content
Your violation of these Terms
Your violation of any applicable law or third-party rights
Your conduct in connection with the Services
Your abuse of the notification system or APIs
Your failure to obtain proper consents from clients or users

8. User Conduct

You agree not to use the Services to:

Violate any law, regulation, or third-party right
Engage in fraud, deception, or unlawful activity
Harass, threaten, abuse, or harm any person
Infringe intellectual property or privacy rights
Distribute malware or harmful code
Spam, hack, or attempt to gain unauthorized access
Interfere with the Services or other users' access
Collect personal information without consent
Abuse notification systems or APIs
Exploit or attempt to exploit vulnerabilities
Reverse engineer or attempt to discover source code
Share information about discovered vulnerabilities without reporting to us

9. Modifications to the Services

We reserve the right to:

Modify, suspend, or discontinue the Services at any time, with or without notice
Change, add, or remove features
Modify pricing or fees (with 30 days' notice for material changes)
Limit or restrict access to certain features

We are not liable for any loss or harm related to modifications or discontinuation of the Services.

10. Termination

10.1 Termination by You

You may stop using the Services at any time by deleting your account or ceasing use. You do not need to formally notify us, but you may contact [email protected] if you have questions.

10.2 Termination by Us

We may suspend or terminate your account at any time if:

You violate these Terms or our policies
You engage in prohibited conduct
You fail to pay fees
You initiate a chargeback or payment dispute without contacting us first
We determine it is necessary to do so

Upon termination, your right to use the Services immediately ceases. Any data in your account may be deleted after a retention period as outlined in our Privacy Policy.

11. Third-Party Services and Integrations

Softalon may integrate with or allow you to connect to third-party services (such as Google Calendar, Stripe, or Meta). Your use of third-party services is subject to those services' terms and privacy policies. We are not responsible for:

Third-party services or their functionality
Data you share with third-party services
Disputes with third-party service providers
Changes or discontinuation of third-party services

You are responsible for reviewing the terms and privacy policies of any third-party services you use.

12. Children and Minors

Softalon is designed for and intended to be used only by individuals 18 years of age or older. We do not knowingly collect personal information from children under 16 without parental consent. If we become aware that we have collected personal information from a child under 16 without proper parental consent, we will take steps to delete such information promptly and may terminate the associated account.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms are governed by and construed under the laws of the State of Wyoming, without regard to conflict of law principles, except to the extent preempted by U.S. federal law.

13.2 Dispute Resolution

Any dispute, claim, or controversy arising from these Terms or the Services will be resolved as follows:

Informal Resolution: Before pursuing any formal action, you and we agree to attempt to resolve the dispute informally by contacting [email protected] or through live chat at softalon.com/contact. You must provide notice of the dispute, including details of the issue and the relief sought. We will make a good-faith effort to resolve the matter within 30 days.

Jurisdiction: If the dispute cannot be resolved informally, any claim will be resolved exclusively in the state or federal courts located in Wyoming, and you consent to the jurisdiction of those courts.

13.3 No Class Actions

You agree that any legal proceedings will be on an individual basis and not as a class action, class arbitration, or any other type of representative proceeding.

14. Changes to These Terms

We may modify these Terms at any time. If we make changes, we will update the date at the top of these Terms. Material changes will be accompanied by notice (e.g., email, notice in the Services). Your continued use of the Services after changes are posted constitutes acceptance of the modified Terms.

If you do not agree to any changes, you must stop using the Services immediately.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and Data Processing Agreement (where applicable), constitute the entire agreement between you and Softalon regarding the Services and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, such provision will be severed, and the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

15.4 Survival

All provisions of these Terms that, by their nature, should survive termination (such as indemnification, limitation of liability, and intellectual property) will survive.

15.5 Assignment

We may assign or transfer these Terms to any successor or affiliate. You may not assign these Terms without our written consent.

15.6 No Third-Party Beneficiaries

These Terms are intended solely for the benefit of you and Softalon and create no third-party beneficiary rights.
